John Hamilton is a partner in the Newport Beach office. He has extensive experience advising companies of all sizes – from small, medium and large corporations to limited liability companies, partnerships and other entities – with their respective business needs. Unlike most lawyers, John is uniquely positioned to offer business advice having successfully launched and run a company of his own. He has particular experience counseling clients on the following:

• Mergers and acquisitions
• Debt and equity financings
• Private and public offerings, including the preparation of offering materials, private placement memoranda, and registration statements
• Preparation of company operational documents, including operating agreements (LLC), shareholder agreements, partnership agreements, stock option plans, employment agreement, independent contractor agreements and licensing agreements
• Formation of different types of legal entities and preparation of organizational documents
• Securities regulatory compliance

• Represented Xoom Corporation as its outside General Counsel, in addition to handling its Series A, Series B, Series C, Series C-1, Series D and Series E Preferred Stock venture capital backed equity financings
• Represented Insulectro as its outside General Counsel, in addition to handling the company’s major corporate restructuring
• Represented Lookout, Inc. as its outside General Counsel, in addition to handling its Series A and Series A-1 Preferred Stock venture capital backed equity financings
• Represented Partners Consulting Services in its sale of company (stock transaction) to Ballantyne Computer Services, Inc.
• Represented 280 North, Inc. as its outside General Counsel, in addition to handling its sale of company (stock transaction) to Motorola, Inc.
• Represented Eventbrite, Inc. as its outside General Counsel, in addition to handling its Series A, Series B, Series B-1 and Series C Preferred Stock venture capital backed equity financings
